1. Acceptance of Terms

All services are delivered pursuant to a separate written agreement, statement of work, or service order executed between FRT ABA SUPPORT LLC and the client. These general terms apply to all engagements unless expressly superseded by the terms of that separate agreement.

3. Intellectual Property Rights

All deliverables, designs, code, documentation, reports, architectures, configurations, and other work product created by FRT ABA SUPPORT LLC in the course of an engagement remain the intellectual property of FRT ABA SUPPORT LLC until full payment has been received. Upon full payment, ownership of the deliverables specified in the applicable statement of work transfers to the client, subject to the following exceptions:

  • Pre-existing tools, frameworks, libraries, methodologies, and know-how developed by FRT ABA SUPPORT LLC prior to the engagement remain its sole and exclusive property.
  • FRT ABA SUPPORT LLC retains a perpetual, non-exclusive, royalty-free license to use general techniques, ideas, and concepts developed or refined during the engagement.
  • Any open-source software components incorporated into deliverables remain subject to their respective licenses.

The content, design, graphics, and code comprising this website are the exclusive property of FRT ABA SUPPORT LLC and are protected by United States and international copyright laws. Unauthorized reproduction, distribution, or modification of website content is prohibited.

4. User Obligations and Conduct

When using our website or services, you agree to:

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms or any transactions conducted under them.

FRT ABA SUPPORT LLC is headquartered in Miami-Dade County, Florida. Any legal action, suit, or proceeding arising out of or relating to these terms shall be instituted exclusively in the state or federal courts located in Miami-Dade County, Florida, and each party irrevocably submits to the personal jurisdiction of such courts.

9. Dispute Resolution

FRT ABA SUPPORT LLC values its client relationships and is committed to resolving disputes efficiently and fairly. Before initiating any formal legal action, you agree to first contact us at office@frtsupport.autos and attempt to resolve the dispute informally. Both parties agree to engage in good-faith negotiations for a period of at least thirty (30) days.

If informal resolution is unsuccessful, the parties agree to submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Miami, Florida, and shall be conducted by a single arbitrator mutually agreed upon by the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

Each party shall bear its own costs and expenses in connection with any arbitration, and the parties shall share equally the fees and expenses of the arbitrator, unless the arbitrator awards costs or fees to a prevailing party. Nothing in this section precludes either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

10. Changes to These Terms

FRT ABA SUPPORT LLC reserves the right to modify, amend, or replace these Terms of Service at any time and at its sole discretion. Material changes will be communicated by posting the updated terms on this page and updating the Last updated date above. In the case of significant changes, we may also notify you via email if you have an active engagement with us.

Your continued use of our website or services following the posting of revised terms constitutes your acceptance of the changes.
